DRAFT FOR COUNSEL REVIEW — NOT OPERATIVE. This text was machine-drafted from the venture's written requirements to accelerate counsel's work. Do not sign, publish, attach to any sale, or rely on it in any form until Swiss counsel has reviewed, corrected, and issued it. Inline [COUNSEL: …] markers flag points requiring legal judgment.
Offer terms
[COUNSEL] reworded 2026-09-10 on the operator's ruling (temporary discount; no tier label) — confirm before publication.
1. What the offer is
1.1 A temporary discount. The USD 1,000 price is a temporary discount on the Professional licence (list price USD 1,499), limited to 20 legal entities, first come, first served. When those 20 are sold, the USD 1,199 offer opens at a price already published. Either way you buy the full Professional licence — nothing to re-buy later. These terms govern both offers; where they name USD 1,000, read the price you paid. It is a one-time purchase, sold by Paddle as merchant of record, and the EULA governs the software licence. Seller of record and licence issuer as per EULA Section 1.1. [COUNSEL: same interim-party question as EULA 1.1 — this offer is the first thing sold, so if any sale can complete before the Association's Handelsregister registration, the interim-party mechanics must be in place for exactly these purchases.]
1.2 Honest count. The number of licences sold at USD 1,000 is capped at 20. We do not extend the count quietly; if the cap changes, the change is published before any licence beyond the original cap is sold.
1.3 A purchase, nothing else. It is a purchase, not a donation and not an investment: you pay USD 1,000 and you receive a perpetual software licence. It carries no membership, equity, revenue share, or governance rights of any kind.
2. What you receive
2.1 The Professional licence. A licence file, issued within minutes of purchase, with the Professional rights under the EULA from day one: licensed to your legal entity, unlimited developers and servers, SaaS use and OEM redistribution included, perpetual per the EULA's release-date rule, with 12 months of updates from issue, restarted at the 1.0 release (Section 2.2). It is the same EULA as every paid licence.
2.2 Nothing to re-buy later. The discount is the whole difference between this offer and the list-price Professional licence. No top-up to the Professional list price is ever charged. If version 1.0 of the software is released after your purchase, your licence is re-issued at no charge, with the same licence id, its tier value set to professional, and your 12 months of updates restart on the 1.0 release date. No other re-issue is owed or implied. After the 12 months of updates, the standard EULA renewal terms apply (renewal at 40% of the then-current Professional list price, always optional, your builds never stop working).
2.3 Every build. You receive every build we release during your 12 months of updates, starting with the first one available at purchase. Builds released before version 1.0 are labelled as such: they may be incomplete, may have rendering defects, and formats and options may change between builds.
2.4 A direct line. Your checkout includes a short questionnaire (what Rendlio Sheets replaces for you, your team profile, budget source), completed at checkout, and about a week after purchase we send one follow-up email asking how your first integration went. Your answers help us decide what to build next. We never send marketing without separate consent, and the product itself never phones home.
3. Refunds
3.1 30 days, full amount, no reasons required, via Paddle — see the refund policy and EULA Section 8. On refund your licence terminates; because Rendlio Sheets never phones home, we mark it revoked in our records and trust you to stop using it.
4. If the product is discontinued
4.1 If Rendlio Sheets is discontinued, the commercial offer ends: no further builds under this licence and no support. Discontinuation never ends the licence you hold or the software you have. [COUNSEL: Section 4 was amended on 2026-09-05 so that the consequence of discontinuation is stated as the end of the commercial offer, which is all these terms govern; confirm the amended wording before publication.]
4.2 You choose one of the following:
- (a) a full refund of the price you paid, processed via Paddle — available at discontinuation even if the standard 30-day window (Section 3) has passed; on refund your licence terminates per the EULA; or
- (b) you keep the licence, keep the last release, and receive the source code: you keep your perpetual licence to every build released up to discontinuation, exactly as the EULA's release-date rule provides — the software on your machines keeps working forever, watermark-free, in production — and we deliver to you, at discontinuation, a source-code snapshot of the engine as of the last released build, sent directly to you. The snapshot is your own copy: it does not depend on any repository host, or on the association, continuing to exist. (The source is public under BUSL-1.1 in any event, and each release converts to the Apache-2.0 open-source licence four years after that release, discontinued or not.)
4.3 What discontinuation takes away: future builds under this licence, support, and — only if you take the refund under Section 4.2(a) — the licence itself. Your standard 30-day money-back right (Section 3) is unchanged and independent of this Section.
[COUNSEL: Section 4.2 drafts the remedy to the decided internal specification, which offers a refund choice at discontinuation plus a source-code delivery commitment. The brief prepared for counsel words the buyer-keeps disclosure more narrowly (perpetual licence to the builds as delivered). [operator: confirm the specified remedy stands as drafted, or decide to NARROW it to the 30-day-window-only variant — in which case delete 4.2(a), keep 4.2(b), and state expressly that no refund is available beyond the 30-day window.] Reconcile spec and terms so they say the same thing before this text is anywhere near a checkout; also advise whether a discounted perpetual licence carrying a discontinuation refund could be recharacterised under any applicable law (prepayment/voucher rules, insolvency of the association) in a way that mandates more than drafted here, and how the refund in 4.2(a) is honoured if the association is being wound up at the time.]
5. Terms of the deal
5.1 One entity. The licence covers the single legal entity named at checkout (the EULA's entity rules apply, including free correction of the name by re-issue).
5.2 Not transferable — except with the entity. The licence cannot be resold or transferred separately. It follows your entity through acquisition, merger, or universal succession exactly as EULA Section 17 provides.
5.3 Precedence. Everything else — the no-telemetry promise, warranty, liability, governing law (Switzerland) — is in the EULA, which you accept at checkout. Where these terms and the EULA differ for a licence bought under this offer, these terms win.
5.4 Working draft. These terms are a working draft pending counsel review and are not yet a binding offer; the version presented at checkout, once issued, is the operative text.
Open points for counsel are marked inline: 1.1 (interim party pre-registration), 4.2/4.3 (operator: confirm the specified refund-choice-at-discontinuation remedy as drafted, or narrow to 30-day-only; prepayment/insolvency characterisation; refund mechanics during wind-up), 4.1 (amended 2026-09-05: the consequence of discontinuation is stated as the end of the commercial offer; confirm), whole page (reworded 2026-09-10: temporary-discount framing, no tier label; confirm). Business decision recorded: the cap in 1.1 and 1.2 is set to 20 (operator, 2026-08-23), matching the pricing page.
